📋 Key Responsibilities:

• Advise clients in M&A transactions including private equity, rollups, and founder exits

• Draft and negotiate high-value deal documents for transactions ranging from $50M to over $1B

• Support spinouts, investment firm formations, and complex equity structures

• Work on fund structuring, LLC investment arrangements, and regulatory matters

• Coordinate with attorneys across practice groups including tax, crypto, and fintech

• Manage all phases of due diligence, deal strategy, and closings in multi-party transactions

✅ Qualifications:

• 5–10 years of experience in corporate transactional law

• Strong background in M&A, private equity, and fund-related matters

• Prior experience with LLC structuring and investment agreements highly preferred

• Active license to practice law in at least one U.S. jurisdiction
